General Terms and Conditions of Sale — B2C Relationship — Version v2.0 · May 1, 2026
Enforceable contractual document concluded remotely by electronic means between OuiJob SAS and the Candidate. Full reading is recommended before subscription.
Note — in case of conflict between language versions, the French version shall prevail.
Preamble
OuiJob SAS, a simplified joint-stock company with share capital registered at its head office, recorded in the Paris Trade and Companies Register, whose registered office is located in Paris, France (hereinafter « OuiJob » or the « Company »), publishes the platform accessible at the address ouijob.eu (hereinafter the « Platform »).
The Platform's primary purpose is the free electronic matching of candidates seeking professional mobility to France with employers established on French territory and verified by the Company. This matching activity is provided exclusively free of charge to the candidate, in accordance with article L5321-3 of the French Labour Code.
These General Terms and Conditions of Sale (hereinafter the « T&Cs ») exclusively govern the supply, by OuiJob, of paid optional and distinctindividual support services (hereinafter the « Services »). They govern neither registration on the Platform, nor matching, nor any free feature, which are governed by the Terms of Use accessible at the address ouijob.eu/legal/cgu (hereinafter the « Terms of Use »).
Essential information. Registration on OuiJob, access to matching, consultation of offers, applications, messaging and profile visibility to employers are and shall remain entirely free of charge for the Candidate. Subscription to a Service grants no advantage in terms of visibility, ranking or priority handling within the Platform (see article 4 below).
Article 1 — Definitions
For the purposes of these terms, the terms below, whether used in the singular or plural, have the following meaning:
- Candidate
- Any adult natural person, acting for purposes outside the scope of their commercial, industrial, craft, professional or agricultural activity, who subscribes to a Service from OuiJob. The Candidate has the status of consumer within the meaning of the introductory article of the French Consumer Code.
- Advisor
- Employee of OuiJob SAS in charge of performing all or part of the Services for the Candidate. Advisors do not receive any commission linked to the obtaining of an employment contract, a visa or a residence permit.
- Platform
- The online public communication service published by OuiJob and accessible at the address ouijob.eu, as well as its associated subdomains and applications.
- Service(s)
- The paid individual support service(s) described in article 5 hereof, excluding any free service governed by the Terms of Use.
- Subscription
- The act by which the Candidate concludes the contract for the supply of a Service with OuiJob, by validating the remote payment via the Stripe service provider.
- Parties
- Jointly, OuiJob and the Candidate.
Article 2 — Purpose
The purpose of the T&Cs is to define the conditions under which OuiJob provides the Services to the Candidate, as well as the respective rights and obligations of the Parties.
The T&Cs constitute, together with the subscription summary sent to the Candidate by electronic means, the entirety of the agreement concluded between the Parties and shall prevail over any prior or contradictory document, with the exception of the mandatory provisions of applicable French law.
Article 3 — Scope and contractual articulation
3.1Contractual documents
The contractual relationship between the Parties is governed, in this order of decreasing priority: (i) these T&Cs; (ii) the subscription summary; (iii) the Privacy Policy; (iv) the Terms of Use for the free features of the Platform.
3.2Acceptance
The Subscription entails full, complete and unreserved acceptance of the T&Cs by the Candidate. Acceptance is materialized by validation of the payment, preceded by an unchecked checkbox attesting to the reading of the T&Cs.
3.3Applicable version
The applicable version of the T&Cs is the one in force on the Subscription date. OuiJob keeps a timestamped copy of each successive version and of the version accepted by the Candidate for evidentiary purposes (article 1366 of the French Civil Code).
Article 4 — Independence of Services from free placement
Pivot article. The purpose of this article is to guarantee the strict application of article L5321-3 of the French Labour Code. The free matching activity is and remains independent of the supply of the Services. No provision herein may be interpreted as conditioning access to the free features of the Platform on the subscription to a Service.
4.1Free placement
In accordance with article L5321-3 of the French Labour Code, any placement operation carried out free of charge by OuiJob for the benefit of persons seeking employment shall remain free of charge. The following are free, in particular and without limitation: registration, profile creation and modification, visibility to verified employers, algorithmic matching, application to an offer, messaging, consultation of notifications, access to information resources, as well as retention and the right to delete personal data.
4.2Distinct nature of the Services
The Services consist of individual assistance services performed by an Advisor employed by OuiJob, billed at a flat-rate price known in advance. They are strictly distinct from the free placement activity referred to in article 4.1.
4.3No impact on free matching
The subscription or non-subscription to a Service has no direct or indirect impact on:
- ·the visibility of the Candidate's profile to verified employers;
- ·the ranking, score or position of the Candidate in the algorithmic matching results;
- ·the priority handling of their applications or messages;
- ·access to any free feature, present or future, of the Platform;
- ·the retention period of their account or the deletion of their data.
4.4No conditional remuneration
The price of the Services is fixed and is neither conditioned upon, nor indexed to, the obtaining of an employment contract, a visa, a residence permit, a work authorization or any other favorable outcome of the Candidate's journey. No placement commission, success fee or share of future salary is or may be collected by OuiJob from the Candidate.
4.5Salaried status of Advisors
The Advisors in charge of executing the Services are employees of OuiJob SAS. As such, their remuneration is independent of the outcome of the Candidate's journey. OuiJob refrains from any practice that could be qualified as prohibited paid placement within the meaning of articles L5323-1 et seq. of the French Labour Code.
Article 5 — Description of the Services
5.1Support (€89)
One-off Service comprising the following services:
- ·full review of the CESEDA file compiled by the Candidate (verification of the consistency and documentary completeness);
- ·one (1) telephone appointment with an Advisor, with an indicative duration of thirty (30) minutes;
- ·annotated review of the documents provided by the Candidate (passport, criminal record extract, translated diplomas);
- ·written summary report sent by electronic means to the Candidate at the end of the service.
5.2Support + France (€490)
Service comprising all of the content described in article 5.1, as well as the following additional services:
- ·support with prefectural procedures upon arrival in France (preparation of appointments, verification of documents);
- ·assistance with opening a bank account at a partner institution;
- ·introduction to initial housing partners (student housing, furnished accommodation, reception centres);
- ·one (1) in-person appointment with an Advisor in France, with an indicative duration of sixty (60) minutes;
- ·Advisor availability via messaging for a period of ninety (90) days from the start of the service.
5.3Exclusions
The following are expressly excluded from the scope of the Services, save for a written commitment to the contrary by OuiJob:
- ·the legal representation of the Candidate (reserved for lawyers registered with a bar association);
- ·the establishment, sworn translation or legalization of official documents;
- ·the financial coverage of administrative fees (permits, taxes, consulates, translations);
- ·the provision of accommodation, advance rent or rental guarantee;
- ·any commitment of result regarding the obtaining of a residence permit, a work authorization or employment.
Article 6 — Subscription and contract formation
6.1Capacity
The Candidate declares that they have the legal capacity to contract within the meaning of articles 1145 et seq. of the French Civil Code. The Services are strictly reserved for adults.
6.2Subscription process
Subscription is carried out exclusively online, from the Candidate's dashboard, according to the following steps: (i) selection of the Service; (ii) consultation and acceptance of these T&Cs by means of an unchecked checkbox; (iii) entry of payment information on the secure gateway of the Stripe service provider; (iv) validation of the payment; (v) receipt of the summary and invoice by electronic means.
6.3Contract formation
The contract is formed upon confirmation by OuiJob of the effective collection of the price. This confirmation takes the form of a confirmation email containing the paid invoice, in accordance with article 1127-2 of the French Civil Code.
6.4Archiving
OuiJob archives the subscription summary, the accepted T&Cs and the invoice for a period of ten (10) years from the contract formation, in accordance with article L213-1 of the French Commercial Code. A copy is accessible to the Candidate upon simple request sent to [email protected].
Article 7 — Price, payment and invoicing
7.1Price
Prices are displayed in euros, all taxes included, and payable in a single installment upon Subscription. The applicable VAT is mentioned on the invoice when the Company is subject to it.
7.2Payment terms
Payment is made exclusively by bank card, via the secure gateway of the payment services provider Stripe Payments Europe Ltd (PCI-DSS Level 1 certified). OuiJob does not at any time retain the complete bank card data of the Candidate.
7.3Default of payment
In case of payment rejection by the issuing institution, the Subscription is deemed not formed and no service is performed. OuiJob reserves the right to refuse a new attempt in the event of recurring unpaid amounts.
7.4Invoicing
A nominative invoice is issued and sent to the Candidate by electronic means within twenty-four (24) hours following collection. In accordance with article 289-VI of the French General Tax Code, the electronic invoice has the same evidentiary value as a paper invoice.
7.5Nominative nature
The Services are strictly nominative and non-transferable. They cannot be transferred to a third party, free of charge or for consideration, without the express prior written consent of OuiJob.
Article 8 — Duration and execution
8.1Execution period
Unless the Candidate waives their right of withdrawal in accordance with article 10 hereof, the execution of the Service begins upon the expiration of the fourteen (14) day withdrawal period. Failing waiver, OuiJob shall not be held liable for the postponement induced by this legal period.
8.2Duration of execution
The Support Service (€89) is performed at once, over an indicative period not exceeding thirty (30) days from the start. The Support + France Service (€490) is performed over an indicative period of ninety (90) days from the start.
8.3Candidate's cooperation
The diligent execution of the Service requires the active cooperation of the Candidate, in particular the complete and faithful transmission of the documents requested by the Advisor, compliance with scheduled appointments, and the communication of an active means of contact. Any delay attributable to the Candidate automatically suspends the execution period.
Article 9 — Right of withdrawal
9.1Period
In accordance with article L221-18 of the French Consumer Code, the Candidate has a period of fourteen (14) calendar days, from the day of the conclusion of the contract, to exercise their right of withdrawal without having to justify their decision and without penalty.
9.2Exercise procedures
The Candidate may exercise their right of withdrawal: (i) by using the standard form provided in the appendix to article R221-1 of the French Consumer Code; or (ii) by sending OuiJob, by any unambiguous written means, their decision to withdraw (email to [email protected], or message via the dashboard).
9.3Burden of proof
In accordance with article L221-21 of the French Consumer Code, the burden of proving the exercise of the right of withdrawal lies with the Candidate. The date of receipt of the request by OuiJob shall prevail.
Article 10 — Express waiver of the right of withdrawal
10.1Faculty of waiver
In accordance with article L221-25 of the French Consumer Code, the Candidate may expressly waive their right of withdrawal so that the service begins immediately, before the expiration of the fourteen (14) day period.
10.2Procedures
The waiver is exercised from the Candidate's dashboard, by activation of an unchecked checkbox accompanied by the prescribed legal mentions. This waiver is tracked by OuiJob (timestamp, IP address, fingerprint of the accepted wording) for evidentiary purposes.
10.3Consequences
In the event of waiver and effective start of the service during the withdrawal period, the Candidate retains their right of withdrawal, it being understood that in the event of exercise of this right, the Candidate is required to pay an amount proportional to the service already provided, under the conditions set out in article L221-25 paragraph 2 of the French Consumer Code.
Article 11 — Refund
11.1Period
In the event of valid withdrawal, OuiJob refunds the totality of the sums paid, where applicable less the proportional amount referred to in article 10.3, within a maximum period of fourteen (14) days from the date on which it is informed of the withdrawal decision, in accordance with article L221-24 of the French Consumer Code.
11.2Refund method
The refund is made using the payment method initially used, save for the express agreement of the Candidate for another method. No fee is charged to the Candidate by reason of the refund.
11.3Goodwill gesture
Outside cases of withdrawal, OuiJob may, at its sole discretion and without this constituting an acknowledgment of liability, grant a total or partial refund as a goodwill gesture.
Article 12 — Candidate obligations
The Candidate undertakes to:
- ·provide accurate, complete and up-to-date information, and report any change without delay;
- ·transmit, within reasonable timeframes set by the Advisor, the documents necessary for the execution of the Service;
- ·refrain from any false, disparaging or insulting communication with regard to OuiJob or its Advisors;
- ·respect the scheduled appointments and, in the event of impediment, inform the Advisor at least twenty-four (24) hours in advance;
- ·not divert the advice, documents or resources provided for unlawful purposes or purposes contrary to the rights of third parties.
Article 13 — OuiJob obligations — Best-efforts obligation
13.1Nature of the obligation
OuiJob is bound, in the execution of the Services, by a best-efforts obligation and not by an obligation of result. The Company undertakes to implement the reasonable diligence of an informed professional in the sector, without guaranteeing the achievement of a specific result.
13.2No guarantee of result
The provision of the Services in no way guarantees:
- ·the obtaining of an employment contract;
- ·the issuance of a visa, residence permit or work authorization by the competent authorities;
- ·the opening of a bank account in France;
- ·the obtaining of housing from a partner;
- ·a guaranteed execution period, save for an explicit written commitment to the contrary.
13.3Independence of authorities
Decisions to grant or refuse a visa, residence permit, work authorization or any other administrative act fall within the exclusive competence of French, foreign or consular authorities. OuiJob shall not be held liable for these decisions.
Article 14 — Limitation of liability
14.1Liability cap
Save in cases of gross negligence, willful misconduct or bodily injury, the cumulative liability of OuiJob in respect of a Service is capped at the amount actually paid by the Candidate for that Service. This limitation constitutes, in accordance with article 1170 of the French Civil Code, an essential obligation and not an abusive clause.
14.2Exclusion of indirect damages
OuiJob shall not be held liable for indirect, intangible or consequential damages suffered by the Candidate, in particular losses of professional opportunity, loss of revenue, travel expenses or the consequences of an unfavorable administrative decision.
14.3Facts attributable to the Candidate
OuiJob shall not be held liable for damages resulting from: (i) late, incomplete or inaccurate transmission of information by the Candidate; (ii) failure to comply with scheduled appointments; (iii) the use by the Candidate of the advice or documents provided for purposes outside the scope of the Service.
Article 15 — Force majeure
Neither Party shall be held liable for the non-performance or delay in performance of an obligation resulting from a case of force majeure within the meaning of article 1218 of the French Civil Code. The following are notably, without limitation, treated as cases of force majeure: natural disasters, acts of war or terrorism, epidemics, decisions of public authorities hindering the execution of the Services, prolonged outages of technical providers (Vercel, Supabase, Stripe, email providers), as well as interruptions affecting consular or prefectural services. The hindered Party shall notify the other Party of the event without delay. If the impediment exceeds thirty (30) days, each Party may terminate the contract without penalty, OuiJob then proceeding with a pro rata temporis refund.
Article 16 — Suspension and termination
16.1Termination by the Candidate
Beyond the withdrawal period, the Candidate may at any time request the cessation of the Service. The refund is made pro rata temporis on the basis of services not yet performed, less the costs already incurred by OuiJob.
16.2Suspension or termination by OuiJob
OuiJob reserves the right, after a formal notice that has remained unsuccessful for fifteen (15) days, to suspend or terminate the contract in the event of serious breach by the Candidate of their obligations, in particular in the event of documentary fraud, abusive behavior or attempted diversion of Advisors for purposes outside the scope of the Service. No refund is due in this case for the portions of Service already performed.
Article 17 — Personal data
17.1Legal framework
OuiJob processes the Candidate's personal data in its capacity as data controller, in accordance with Regulation (EU) 2016/679 (« GDPR ») and amended French Law No. 78-17 of 6 January 1978. The processing methods are described in the Privacy Policy.
17.2Retention
The data collected for the constitution of the CESEDA file are retained for a period of five (5) years from the Candidate's last activity on the Platform, save for an earlier deletion request or a longer legal retention obligation.
17.3Candidate rights
The Candidate has rights of access, rectification, erasure, restriction, objection and portability, as well as the right to define directives concerning the fate of their data after their death. These rights are exercised at the address [email protected]. The Candidate may file a complaint with the French Data Protection Authority (CNIL).
Article 18 — Complaints and consumer mediation
18.1Amicable complaint
Any complaint must be sent in writing to OuiJob at the address [email protected], specifying the reference of the invoice concerned. OuiJob acknowledges receipt within five (5) business days and provides a reasoned response within thirty (30) days.
18.2Conventional mediation
In accordance with articles L611-1 et seq. of the French Consumer Code, the Candidate may, in the event of a persistent dispute after a prior amicable approach, have free recourse to a consumer mediator. The contact details of the mediator referenced by OuiJob are accessible on request to [email protected].
18.3ODR Platform
The Candidate is also informed of the existence of the European Online Dispute Resolution platform, accessible at the address ec.europa.eu/consumers/odr.
Article 19 — Assignment and subcontracting
OuiJob reserves the right to assign or transfer all or part of its rights and obligations under these terms to a third party, in particular in the context of a merger, partial contribution of assets or transfer transaction, without this altering the rights of the Candidate. OuiJob may use subcontractors for the execution of ancillary technical services, under its direct responsibility.
Article 20 — Modifications to the T&Cs
OuiJob reserves the right to modify these T&Cs at any time, subject to informing the Candidate by electronic means at least thirty (30) daysbefore they enter into force. The modifications do not apply to Subscriptions formed prior to their entry into force, which shall remain governed by the version of the T&Cs in force on the date of their formation.
Article 21 — Partial invalidity, non-waiver, entirety
21.1Partial invalidity
If any provision of these terms were deemed null or inapplicable by a competent court, the other provisions shall retain their full effect and the Parties shall endeavor to substitute for the null provision a valid provision pursuing the same economic objective.
21.2Non-waiver
The fact that OuiJob does not avail itself, at a given moment, of any provision of these terms shall not constitute a waiver to avail itself thereof at a later date.
21.3Entirety of the agreement
These T&Cs, together with the documents to which they refer, express the entirety of the Parties' commitments relating to the Services. They cancel and replace any prior agreement having the same purpose.
Article 22 — Applicable law and jurisdiction
22.1Applicable law
These T&Cs are subject to French law, to the exclusion of conflict-of-laws rules, and without prejudice to the mandatory consumer protection provisions in force in the country of habitual residence of the Candidate (Rome I Regulation, art. 6).
22.2Jurisdiction
Any dispute relating to the formation, execution or interpretation of these terms, failing amicable resolution, shall be submitted to the territorially competent French courts in application of the rules of common law applicable to consumers (articles R631-3 and R631-4 of the French Consumer Code), allowing the Candidate to refer the matter, at their choice, to the court of the place where they resided at the time of the conclusion of the contract or of the occurrence of the harmful event.
Article 23 — Acceptance
The Candidate acknowledges having taken cognizance, prior to Subscription, of these T&Cs as well as of the Privacy Policy and the Terms of Use, and declares to accept them without reserve. The unchecked checkbox displayed at the time of Subscription, as well as the validation of the payment, constitute an electronic signature within the meaning of article 1367 of the French Civil Code.
